These Terms and Conditions ("Terms") govern your access to and use of the IOS Organic online application and related services (collectively, the "App"), operated by IOS Naturals LLC ("we," "us," or "our"). The App is intended for use by authorized supermarket managers and retail partners for the purpose of placing product orders. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Eligibility

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement.

2. Account Registration

To access the App, you must be an authorized supermarket manager or representative approved by us. Accounts are provided for business use only. You agree to provide accurate, current, and complete business information and to keep your login credentials confidential. You are responsible for all activity conducted through your account.

We reserve the right to approve, deny, suspend, or revoke any account at our sole discretion.

3. Use of the App

You agree to use the App only for lawful purposes and in accordance with these Terms. You may not:

• Use the App in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality or security
• Use the App to transmit harmful, misleading, or offensive content

4. Intellectual Property

All content, features, and functionality within the App—including but not limited to text, graphics, logos, trademarks, and software—are owned by or licensed to IOS Naturals LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

5. User Content

If you submit content through the App ("User Content"), you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and improving the App. You represent that you have the rights necessary to submit this content.

6. Orders, Pricing, and Payments

The App allows users to place product orders for business-to-business transactions. Orders submitted through the App constitute an offer to purchase and are subject to our acceptance.

Prices shown in the App may change without notice and do not include applicable taxes, shipping, or other charges unless stated otherwise.

No online payments are processed through the App. Payment for orders will be collected separately, including but not limited to payment upon delivery, check, or other agreed payment methods. Payment terms such as Net 15 or Net 30 may apply as agreed between the parties.

Failure to make payment in accordance with agreed terms may result in suspension or termination of account access.

7. Third-Party Services

The App may contain links to or integrate with third-party services. We are not responsible for the content, policies, or practices of these third parties, and your use of such services is at your own risk.

8. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, IOS Naturals LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless IOS Naturals LLC, its affiliates, and employees from any claims, damages, or expenses arising out of your use of the App or violation of these Terms.

11. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the App.

12. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective upon posting within the App or on our website. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New Jersey, without regard to conflict of law principles. We may expand App availability to other countries in the future, at which point additional terms may apply.
